These four templates cover the documents a new skincare brand writes first: a product brief a manufacturer can quote and formulate from, a plain-words explainer of what a mutual NDA between a brand and a manufacturer covers, a label copy template with the front and back panel fields for the US and the EU, and a checklist from 60 days before stock arrives to 90 days after launch. All four are free plain-text (.txt) files.
Product brief template
One brief per product. It covers the product type, customer and skin type, claims, key actives and levels, free-from list, texture, scent, color, pH, size, container, closure, decoration, box, target retail price and unit cost, quantity, markets and channels, tests and certifications, timeline and reference products. Write "open" wherever you want the chemist to suggest. The full explanation, with good and bad examples and a filled example for a 30 mL niacinamide serum, is in the product brief guide.
SKINCARE PRODUCT BRIEF TEMPLATE

A written quote comes within 1 to 2 business days.Mutual NDA explainer
An NDA (non-disclosure agreement) is a contract in which the parties promise to keep shared information secret and use it only for an agreed purpose. Between a brand and a manufacturer it should be mutual, because both sides share secrets: the brand shares concepts, artwork and launch plans, the manufacturer shares the ingredient list, specifications and test data. This explainer walks through the usual clauses in plain words and lists what an NDA does not do, such as decide who owns a formula. It is not an NDA itself.
At KoreanOEM, our mutual NDA is signed online in My page, and the full INCI list is shared after it is signed. For ownership and exclusivity, see formula ownership, NDAs and exclusivity.
MUTUAL NDA EXPLAINER FOR SKINCARE BRANDS AND MANUFACTURERS
From koreanoem.com/skincare-business-templates
This is a plain-words explainer, NOT an NDA and NOT legal advice.
Use it to understand an NDA before you sign one, and ask a lawyer
in your country to review any agreement that matters to you.
==================================================================
WHAT AN NDA IS
==================================================================
An NDA (non-disclosure agreement, also called a confidentiality
agreement) is a contract in which one or both parties promise to
keep certain information secret and to use it only for an agreed
purpose.
One-way NDA: only one side shares secrets and only the other side
promises to protect them.
Mutual NDA: both sides share secrets and both promise to protect
them. A brand and a manufacturer usually need a mutual NDA,
because information flows both ways.
What the BRAND usually shares:
- Product concepts, briefs, claims and launch plans
- Artwork, brand names and packaging designs before launch
- Target prices, sales forecasts, channels and customer data
What the MANUFACTURER usually shares:
- The full ingredient list (INCI) and specifications
- Test reports, stability data and process information
- Pricing and terms
==================================================================
THE CLAUSES, IN PLAIN WORDS
==================================================================
1. Parties
Who signs. Use the exact legal names of the companies,
the same company that will place orders and own the brand.
2. Purpose
Why the information is shared, for example "to evaluate and
carry out the development and manufacture of skincare
products". Information may be used only for this purpose.
3. Confidential information
What is protected. For skincare this should cover formulas,
ingredient lists, specifications, test results, artwork and
brand names before launch, prices, forecasts and business
plans, in any form (written, verbal, samples, files).
4. Exclusions
What is NOT protected: information that is already public,
that the receiver already knew, that the receiver develops
independently, or that it receives lawfully from someone else.
These exclusions are normal and fair.
5. Obligations
The receiver keeps the information secret, protects it with
reasonable care, shares it only with staff and advisers who
need it and who are bound to the same secrecy, and does not
copy it beyond what the purpose requires.
6. Legally required disclosure
If a court or authority orders disclosure, the receiver may
disclose what is required, and usually must tell the other
side first where the law allows.
7. Duration
How long the agreement runs, and how long the secrecy lasts
after it ends. Secrecy for trade secrets such as formulas is
often longer than for general business information, or lasts
as long as the information stays secret.
8. Return or destruction
When asked, or when the relationship ends, the receiver
returns or destroys the information, except copies it must
keep by law.
9. No license, no transfer of ownership
Sharing information does not give the receiver any rights to
it. Each side keeps what it owned before.
10. No obligation to do business
Signing an NDA does not oblige either side to place or accept
an order.
11. Remedies
What happens on a breach. Many NDAs say the injured side can
ask a court to stop the breach quickly (an injunction), in
addition to claiming damages.
12. Governing law and courts
Which country's law applies and where disputes are heard.
13. Signatures
Signed by authorized people. Electronic signatures are widely
accepted for NDAs.
==================================================================
WHAT AN NDA DOES NOT DO
==================================================================
- It does not decide who owns a formula. Ownership and
exclusivity belong in your manufacturing agreement or the
manufacturer's written terms.
- It does not give you exclusivity on a product or ingredient.
- It does not protect your brand name. File a trademark.
- It does not protect information that is already public.
- It does not replace a supply or manufacturing agreement, which
covers prices, quality, defects, delivery and liability.
==================================================================
QUESTIONS TO ASK BEFORE YOU SIGN
==================================================================
- Is it mutual?
- Does "confidential information" cover formulas, INCI lists,
artwork and pricing?
- How long does the secrecy last after the agreement ends?
- Which law applies, and is that workable for you?
- Who in each company may see the information?
- What happens to samples, files and documents at the end?
==================================================================
AT KOREANOEM
==================================================================
- Our mutual NDA is signed online in My page.
- The full INCI list is shared after the NDA is signed (never
percentages).
- A custom formula developed for your brand is not offered to
other brands.

Questions: koreanoem.com/quote or live chat on koreanoem.comLabel copy template (US and EU)
Write the label text before your designer starts, so the artwork has room for everything the law requires. The template lists the front panel (brand, product name, statement of identity, claims, net content) and the back panel fields for the US (directions, warnings, ingredients in descending order, name and place of business, the MoCRA contact for adverse event reports, country of origin) and for the EU (Responsible Person, country of origin, nominal content, date of minimum durability or PAO, precautions, batch number, function, ingredients). It ends with the points a label proof check covers.
Rules for more markets are in cosmetic label requirements by country and INCI lists, PAO and claims, and the full list of fields is in the label checklist. Before printing, we check your label against the target market's rules (ingredient names and order, warnings, net content, origin, Responsible Person or importer details, language) and send corrections; see label proof check.
SKINCARE LABEL COPY TEMPLATE (US AND EU)
From koreanoem.com/skincare-business-templates
Fill in the text for your label before your designer starts the
artwork. One template per product. This is a planning tool, not a
legal check: rules differ by market and change. Before printing,
send the finished label for a label proof check.

koreanoem.comHow to use them together
For the same steps in a printable format, with a budget worksheet and label rules by market, see the free skincare brand launch kit (PDF).
- Brief first
Fill in the product brief and send it for a quote. A written quote at KoreanOEM comes within 1 to 2 business days.
- NDA before the details
Read the explainer, then sign the mutual NDA before you share artwork or receive the full ingredient list.
- Label copy during sampling
While samples are made (about 2 to 4 weeks), write the label copy. Once you approve a sample, the ingredient list is fixed and the label can be finished on the dieline.
- Launch checklist from production
Start the checklist when production begins (about 4 to 5 weeks after sample approval with a library formula), so the waitlist, content and listings are ready when the stock lands.
How KoreanOEM helps
KoreanOEM is a Korean skincare OEM and private label manufacturer: we develop your formula and produce it in Korea, from 500 units.
- Send the brief, get a written quote within 1 to 2 business days, with questions on anything left open.
- Mutual NDA online in My page; full INCI after signing; a custom formula developed for your brand is not offered to other brands.
- Dieline, print specs and a label proof check before printing. We do not design labels; you or your designer make the artwork.
- Documents for launch: COA, MSDS (SDS), specification and stability data for ready library formulas, plus registrations such as the US MoCRA listing (USD 150 per SKU).
